Terms of Use

These Terms of Use (“Terms”) govern your access to and use of the Warmly – Daily Lift mobile application, related services, content, AI features, subscriptions, and digital experiences operated by Misbau LLC (“Warmly”, “Company”, “we”, “us”, or “our”).
1. Agreement to Terms
By downloading, accessing, or using Warmly, you agree to be bound by these Terms. If you do not agree, you must discontinue use immediately.
2. Nature of the Service
Warmly is an AI-powered emotional wellness and motivational application designed to provide uplifting content, guided reflections, emotional support tools, breathing experiences, motivational prompts, mood-based interactions, and AI-generated conversational experiences through the Warmly orb and associated systems.
3. Important Wellness Disclaimer
Warmly is not a medical, psychiatric, psychological, therapeutic, counselling, crisis intervention, or healthcare service. The App does not diagnose, treat, cure, prevent, or manage any mental health or medical condition. AI-generated responses may be inaccurate, incomplete, emotionally unsuitable, or inconsistent. You should never rely on the App as a substitute for professional healthcare advice or emergency services.
4. Crisis and Emergency Situations
Warmly is not intended for use during emergencies or mental health crises. If you are experiencing thoughts of self-harm, suicide, severe emotional distress, or danger to yourself or others, you must contact local emergency services or a qualified crisis support provider immediately.
5. Eligibility
You must be at least 18 years old to use the Services. By using the App, you confirm that you meet this requirement.
6. User Accounts
You may be required to create an account using Sign in with Apple or another approved authentication method. You are responsible for maintaining the confidentiality of your credentials and for all activity under your account.
7. Subscriptions and Payments
Certain features may require a paid subscription including premium orb experiences, advanced moods, extended sessions, personalized insights, or future premium functionality. Purchases are processed through Apple In-App Purchases and are subject to Apple’s billing terms and refund policies.
8. Automatic Renewals
Subscriptions automatically renew unless cancelled at least 24 hours before the renewal date. You may manage or cancel subscriptions through your Apple ID subscription settings.
9. Intellectual Property
All content, designs, animations, branding, orb systems, software, AI prompts, visuals, text, audio, and related materials are owned by or licensed to Misbau LLC and are protected by applicable intellectual property laws.
10. Licence to Use
We grant you a limited, non-exclusive, non-transferable, revocable licence to use Warmly for personal, non-commercial purposes in accordance with these Terms.
11. Prohibited Activities
You agree not to misuse the Services, including by reverse engineering the App, attempting to manipulate AI systems, circumventing safeguards, using automated scraping systems, harassing others, uploading unlawful content, or using the App for harmful, deceptive, or illegal purposes.
12. AI Generated Content
Warmly uses artificial intelligence systems that generate responses dynamically. AI outputs may vary between sessions and users and may contain inaccuracies or unintended statements. You acknowledge that AI-generated content should be treated as informational and motivational in nature only.
13. User Content
You retain ownership of content you submit to the App, including journal entries, reflections, mood inputs, and personalization settings. You grant us a limited licence to process such content solely to operate and improve the Services.
14. Privacy
Your use of Warmly is also governed by the Warmly Privacy Policy. By using the Services, you consent to the collection and processing of data as described therein.
15. Third-Party Services
Warmly may rely on third-party infrastructure and services including Apple, Firebase, Supabase, Anthropic, analytics providers, payment processors, and cloud hosting providers. We are not responsible for third-party service interruptions or policies.
16. Availability
We do not guarantee uninterrupted availability of the Services. Features may be modified, suspended, or discontinued at any time.
17. Termination
We reserve the right to suspend or terminate access to the Services at our discretion, including for violations of these Terms.
18. Limitation of Liability
To the maximum extent permitted by law, Misbau LLC shall not be liable for any indirect, incidental, special, consequential, emotional, psychological, financial, or punitive damages arising from your use of the Services.
19. Indemnification
You agree to indemnify and hold harmless Misbau LLC from claims, damages, liabilities, losses, and expenses arising from your misuse of the Services or breach of these Terms.
20. Governing Law and Dispute Resolution
These Terms are governed by and construed in accordance with the laws of the United Arab Emirates, without regard to conflict of laws principles.
Any dispute arising out of or in connection with these Terms, including any question regarding their existence, validity, or termination, shall be referred to and finally resolved by arbitration administered by the Dubai International Arbitration Centre (DIAC) under the DIAC Arbitration Rules in effect at the time of the dispute. The number of arbitrators shall be one (1). The seat, or legal place, of arbitration shall be Dubai, United Arab Emirates. The language of the proceedings shall be English. The governing law of these Terms shall be the substantive law of the United Arab Emirates.
The foregoing arbitration agreement shall not prevent either party from seeking injunctive or other equitable relief from a court of competent jurisdiction for matters relating to intellectual property rights, unauthorised access, or claims that cannot be adequately remedied through arbitration alone.
21. Modifications to These Terms
We may update these Terms from time to time. Continued use of the Services after changes become effective constitutes acceptance of the revised Terms.
